License and Commercial Use

This License and Commercial Use Agreement (the "License") governs your use of the digital embroidery design files ("Designs") purchased or downloaded from reembroidery.com (the "Site") operated by Re Embroidery ("Re Embroidery," "we," "us," or "our"). This License is incorporated by reference into our Terms of Service and applies to every Design you obtain.

1. License grant

Subject to your full payment for paid Designs, your acceptance of these Terms, and your continuing compliance with this License, Re Embroidery grants you a non-exclusive, non-transferable, non-sublicensable, revocable, worldwide license to:

  • Download and store the Design files on your personal devices and embroidery machine
  • Stitch the Design onto fabric or other physical materials using your own equipment, thread, and labor
  • Edit colors, resize within proportional limits, and adjust the Design in your embroidery software for your own embroidery projects
  • Sell finished embroidered physical items you make from the Design, subject to the limits in Section 4

The License is granted for the original purchaser only and the embroidery machine(s) under their direct control.

2. Reservation of rights

All right, title, and interest in the Designs, including all copyrights, trademarks, trade dress, and other intellectual property, remain with Re Embroidery. No rights are granted other than the limited license expressly stated here. The sale of a Design is the sale of a license to use it under these terms; it is not a sale or assignment of the underlying intellectual property.

3. Free Designs

Designs offered free of charge are licensed under the same terms as paid Designs, except that no payment is required. Free Designs may be subject to additional restrictions noted on the relevant product page or download page.

4. Permitted commercial use

4.1 Small-shop commercial use

You may sell finished embroidered physical items made from a Design, provided that:

  • You make the items yourself or through workers under your direct supervision and control
  • You sell no more than 200 finished embroidered items per Design per calendar year
  • You do not represent the Design as your own original artwork
  • You include a credit line where reasonably possible (e.g., "Embroidery design licensed from Re Embroidery")

4.2 Extended commercial license

If you intend to mass-produce items beyond the 200-unit annual limit, contract with a manufacturer, or use the Designs in a wholesale or retail line, you must obtain an extended commercial license. Contact licensing@reembroidery.com to discuss terms and pricing.

5. Prohibited uses

You may NOT, under any circumstances:

  • Resell, share, gift, lend, sublicense, or transfer the Design files (.PES, .DST, .EXP, .HUS, .JEF, .VP3, .XXX, .CND, or any digitized format) to any other person or entity
  • Upload the Designs to any marketplace, file-sharing site, pattern aggregator, social media platform for download, USB stick exchange, or other distribution channel
  • Bundle Designs into a design pack, club subscription, or product-of-the-month offering sold or distributed by you
  • Claim authorship of the Designs or remove our copyright notices, watermarks, or attribution from the files or finished items
  • Use Designs to train artificial intelligence, machine-learning models, or any algorithmic system that generates derivative or competing designs
  • Reverse engineer, decompile, or extract the underlying digitized stitch data for redistribution or competing products
  • Embroider Designs onto items that are obscene, defamatory, hateful, harassing, infringing, or unlawful
  • Use Designs in connection with political campaigns, organizations advocating discrimination, or extremist movements
  • Use Designs to create derivative digital files (e.g., a re-digitized version) and distribute, license, or sell those derivatives

6. Attribution

Attribution is encouraged but not required for finished embroidered items sold under Section 4.1. Where you maintain a public listing, social post, or product description for an embroidered item, we appreciate credit such as: "Embroidery design from Re Embroidery (reembroidery.com)."

7. Modifications and derivative works

You may make limited modifications to a Design within your embroidery software for your own production needs. You may not:

  • Distribute the modified Design files
  • Sell the modified Design files
  • Use the modifications as the basis for a new design that you claim as your own

Modifications are licensed under the same terms as the original Design.

8. Bulk discounts and design clubs

If you are part of a design club, school, or other group purchasing in bulk, the License extends only to the named purchaser. Each individual user must obtain their own License. Contact licensing@reembroidery.com for group rates.

9. Warranty disclaimer

The Designs are licensed "as is." Re Embroidery does not warrant that any specific Design will produce a particular aesthetic or functional result on your machine, fabric, thread, or stabilizer combination. Embroidery output depends on factors outside our control, including operator skill and equipment calibration.

10. Termination

This License terminates automatically upon any material breach by you. Upon termination, you must immediately stop using the Designs and delete all copies of the Design files in your possession or control. The prohibitions in Sections 5, 7, and 11 survive termination.

11. Enforcement

We monitor for unauthorized redistribution and may take any of the following actions in case of License violation:

  • Issue a cease-and-desist demand
  • Submit DMCA takedown notices to platforms hosting infringing content
  • Terminate your account and revoke the License
  • Pursue injunctive relief and damages, including statutory copyright damages and attorney fees
  • Refer to law enforcement

12. Governing law

This License is governed by the laws of Bangladesh, without regard to conflict-of-law principles. Disputes are resolved as set forth in our Terms of Service.

13. Updates

We may update this License from time to time. Designs purchased before an update remain governed by the License in effect at the time of purchase, except that updated prohibitions in Section 5 (e.g., to address new misuse patterns) apply prospectively to all licensees.

Frequently asked questions

Can I sell items I embroider from your designs?

Yes. You can sell finished embroidered items you make yourself, up to 200 items per design per calendar year. For more than that, contact us for an extended commercial license.

Can I share or resell the design file?

No. The file is licensed to you only. You can't resell, share, gift, lend, or upload the design files to any site or marketplace.

Do I have to credit Re Embroidery?

Credit is appreciated but not required for finished items you sell. A line like "Embroidery design from Re Embroidery" is welcome where you list the item.

Can the designs be used to train AI?

No. Using the designs to train artificial intelligence or machine-learning models is not allowed.
